You retain all rights in and to your User Content, but you grant us a non-exclusive, royalty-free, perpetual, irrevocable, and fully sub-licensable right to use, copy, modify, display, and distribute your User Content in connection with the Platform.

The Platform and its original content, features, and functionality are owned by River Deal Capital Limited and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. These Terms do not grant you any right, title, or interest in the Platform, its content, or its services and products, except for the limited license to use the Platform in accordance with these Terms.

Under no circumstances will we be liable for any loss or damage, including without limitation any loss or damage to your computer system or loss of data, or any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising out of your use of the Platform, or for any other claim related in any way to your use of the Platform, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of any content (or product) posted, transmitted, or otherwise made available via the Platform, even if advised of their possibility. Because some jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

You agree to indemnify and hold harmless River Deal Capital Limited, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable lawyer fees) arising out of your violation of these Terms or your use of the Platform, including, but not limited to User Content submitted by you, or your use of products or services offered through the Platform.

These Terms are effective until terminated by either party. If you wish to terminate these Terms, you may discontinue using the Platform. In addition, we may, in our sole discretion, at any time terminate or suspend all or a portion of the Platform, or your use of all or a portion of the Platform, with or without notice and with or without cause.

These Terms and Conditions shall be deemed to have been made under the jurisdiction of the British Virgin Islands and the construction, validity, and performance of this Agreement shall be governed in all respects by the laws of the British Virgin Islands.

Any dispute arising out of or relating to these Terms shall be resolved, at our sole election, through binding arbitration in accordance with the laws of the British Virgin Islands.

These Terms, together with the Privacy Policy, and Cookies Policy constitute the entire agreement between you and River Deal Capital Limited with respect to the use of the Friendzone Platform. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall be fully enforced. The failure of either party to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing. In the event of any conflict between these Terms and any applicable additional terms that apply to a particular portion of the Platform, the latter terms will control for that portion of the Platform. Our failure to enforce any provision of these Terms shall not be deemed a waiver of such provision nor of the right to enforce such provision.

We reserve the right, in our sole discretion, to change these Terms at any time by posting the updated Terms on the Platform. Your continued use of the Platform following the posting of changes to these Terms will mean you accept the changes. If you do not agree to any changes to these Terms, your sole remedy is to discontinue using the Platform.

All content and materials on the Platform, including but not limited to text, graphics, logos, images, audio, and software, are the property of River Deal Capital Limited and are protected by copyrights, trademarks, service marks, patents, trade secrets, or other proprietary rights and laws.

We welcome and encourage you to provide feedback, comments, and suggestions for improvements to the Platform ("Feedback"). You may submit Feedback by emailing us at team@friendzone.pro. You grant to us a non-exclusive, worldwide, perpetual, irrevocable, fully-paid, royalty-free license to use, copy, modify, create derivative works based on and otherwise exploit the Feedback in any manner.

You acknowledge and agree that any User Content you submit to the Platform is not confidential and may be used by us for any purpose, including but not limited to reproduction, transmission, publication, broadcast, and posting. You grant to us a non-exclusive, worldwide, perpetual, irrevocable, fully-paid, royalty-free license to use, copy, modify, create derivative works based on, and otherwise exploit your User Content in any manner.

We reserve the right to, in our sole discretion, terminate or suspend your use of the Platform and/or your account, with or without notice and with or without cause, at any time. Upon termination or suspension, your right to use the Platform will immediately cease, and we may, without liability to you or any third party, promptly delete all User Content and other information related to your account. The provisions of these Terms that by their nature should survive termination shall survive termination, including, but not limited to, ownership provisions, warranty disclaimers, indemnification and limitations of liability.

The Website is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, or non-infringement. We make no warranty that the Platform will meet your requirements, or that access to the Platform will be uninterrupted, timely, secure, or error-free, or that defects, if any, will be corrected. You understand and agree that any material downloaded or otherwise obtained through the use of the Platform is done at your own discretion and risk and that you will be solely responsible for any damage to your computer system or loss of data that results from the download of such material.
